2026 STL EFT community | Proposed Amendments to Bylaws and Articles of Incorporation


Members are invited to join the meeting in which Amendments to the Bylaws and Articles of Incorporation are being proposed and voted on at 10 AM CDT on Monday, July 20 via Zoom. ​​

​These amendments are required to bring our governing documents into compliance with state requirements, particularly regarding our dissolution clause.

All community members are invited to attend and vote. A majority of members present at the meeting is required to approve the proposed bylaw amendments and the amendment to the articles of incorporation.
The following is a summary of the proposed changes:

Dissolution Clause (Bylaws and Articles of Incorporation)
In the event of the dissolution of the St. Louis Emotionally Focused Therapy Community, also known as StLEFT, all remaining assets, funds, and property of the organization shall, after payment of all liabilities and obligations, be distributed to Crossroads Counseling Center, located at 1000 Executive Parkway Drive, Suite 106, Creve Coeur, Missouri 63141, provided that Crossroads Counseling Center is recognized at the time of dissolution as a tax exempt organization under Section 501(c)(3) of the Internal Revenue Code.
If Crossroads Counseling Center is no longer in existence, is unable to accept the assets, or is no longer recognized as tax exempt under Section 501(c)(3), the remaining assets shall be distributed to another nonprofit organization selected by a majority vote of the board. The selected organization must be recognized as tax exempt under Section 501(c)(3) and have charitable, educational, or mental health purposes consistent with the mission of StLEFT.
No portion of the remaining assets shall be distributed to or used for the private benefit of any member, board member, officer, or other private individual.

Amending the Bylaws
Bylaw amendments may be proposed by any board member and must be approved by the community membership. Proposed amendments may be considered at a Special Election held specifically to vote on bylaw amendments or at an election held to elect or install new board members.
A majority vote of the members present is required to approve a proposed bylaw amendment. There is no limit to the number of bylaw amendments that may be proposed or approved during a calendar year.
The complete text of each proposed amendment shall be provided to community members for review at least one month before the scheduled vote. All community members shall be notified of the meeting and invited to attend and vote on the proposed amendments.
